TERMS OF SERVICE AGREEMENT

This Agreement ("Agreement") is entered into by and between Blake Ryan Consulting ("Coach") and the Client ("Client").

1. Recitals

WHEREAS, Blake Ryan Consulting possesses specialized skills and experience in business consulting and coaching;

WHEREAS, the Client seeks to engage the services of the Coach to enhance their business by participating in the coaching program under the Coach's guidance;

NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, the parties agree as follows:

2. Scope of Services

The Coach agrees to provide comprehensive business coaching services, including but not limited to:

Personalized coaching sessions;
Strategic planning and business optimization;
Course materials, online video sessions, telephonic consultations, and digital communication;
Feedback and guidance tailored to Client's business growth.

3. Confidentiality and Non-Disclosure

3.1 Strict Confidentiality Requirement

The Client acknowledges that participation in the coaching program provides access to proprietary, confidential, and trade secret information, including but not limited to business strategies, training materials, video recordings, proprietary methodologies, and private communications ("Confidential Information").

3.2 Non-Disclosure Obligation

The Client agrees that they shall not, at any time, disclose, share, copy, distribute, reproduce, or otherwise make available any Confidential Information to any third party without prior written consent from the Coach. This obligation remains in effect indefinitely, including after termination of this Agreement.

3.3 Legal Remedies for Breach

Any breach of this confidentiality clause shall result in immediate legal action, including but not limited to:

An immediate cease-and-desist order;
Full financial liability for any damages, loss of business, or reputational harm caused;
Recovery of all legal fees and costs associated with enforcing this clause.

4. Non-Disparagement Clause

4.1 Non-Disparagement Requirement

The Client agrees not to make or publish any negative, false, misleading, or defamatory statements about the Coach, the coaching program, or any affiliated persons or entities, in any format (written, verbal, social media, online forums, etc.), during or after their participation in the program.

4.2 Legal Consequences

Violation of this clause will result in the following consequences:

Immediate termination of the Client's access to all coaching materials;
Legal action for defamation, damages, and injunctive relief.

5. Intellectual Property Rights

All materials, content, and recordings provided by the Coach are 100% owned by Blake Ryan Consulting. The Client receives a limited, non-exclusive, non-transferable license for personal use only. Any attempt to distribute, resell, or share these materials will result in legal action.

6. Indemnification

The Client agrees to indemnify and hold harmless Blake Ryan Consulting from any claims, losses, or damages (including legal fees) arising from:

Unauthorized disclosure of Confidential Information;
Any defamatory statements made by the Client;
Any attempt to cancel, defraud, or disrupt the coaching business.

7. Termination and Enforcement

7.1 Grounds for Immediate Termination

The Coach reserves the right to terminate this Agreement immediately if:

The Client breaches any confidentiality, non-disparagement, or intellectual property clause;
The Client engages in harmful, fraudulent, or defamatory conduct against the Coach or program.

7.2 Legal Enforcement

The Client agrees that all disputes shall be resolved through binding arbitration in the jurisdiction of Blake Ryan Consulting's choosing. The prevailing party shall be entitled to recover all legal fees and enforcement costs.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Blake Ryan Consulting operates.

9. Acknowledgment and Agreement

By enrolling in the coaching program, the Client to the terms outlined above and waives any rights to dispute these terms after enrollment.
